IMPORTANT: READ THIS AGREEMENT CAREFULLY
This is a legal agreement between you, the LICENSEE, and Systems
Technology, Inc. (STI), the LICENSOR. By purchasing and installing
an Activation Code in the Program CC, Version 5 software, you agree
to be bound by all the terms and conditions of this license agreement.
Purchase and installation of an Activation Code is required to activate
(upgrade) the downloaded Program CC, Version 5 software to the Student
Level or Professional Level.
The LICENSEE hereby accepts Program CC subject to the terms and
conditions of this nonexclusive software license agreement (the
“License”) as follows:
TERM. This Agreement commences when the LICENSEE purchases and installs
an Activation Code in the Program CC, Version 5 software. Unless
sooner terminated by mutual agreement, the license shall extend
indefinitely.
USAGE. The Program CC, Version 5 software, without activation with
an Activation Code, may be installed and run in the “demo mode”
by any person on any workstation. The Program CC, Version 5 software
may be installed and activated with an Activation Code on any workstation
under the direct control of the LICENSEE. Only one installation
of the activated software corresponding to a given license (Activation
Code) may be used at any time. Simultaneous use of several installations
of the Program CC, Version 5 software, activated using one Activation
Code, is illegal.
REPRODUCTION OF SOFTWARE AND DOCUMENTATION: The Program CC, Version
5, software and documentation may be reproduced as needed for the
usage noted above. Copyright notices, this license agreement, and
identifying data must be included.
COPYRIGHTS: LICENSOR represents and LICENSEE acknowledges that United
States copyright law and international treaty provisions protect
Program CC and its documentation.
USES NOT PERMITTED. Without explicit permission from STI, LICENSEE
may not:
Use Program CC, Version 5 at the Student Level or the Professional
Level on a server unless the individual workstation or user is individually
licensed by STI.
Distribute the Program CC, Version 5 software, activated to the
Student Level or the Professional Level, to others.
Rent; grant sublicenses, leases or other rights in Program CC to
others.
Modify, reverse engineer, de-compile Program CC, except that modification
of the Tutorial macro files is permitted.
TRANSFER OR ASSIGNMENT: The license for the Program CC, Version
5 Student Level or Professional Level is nontransferable without
prior approval of STI, and a fee may be charged by STI for such
transfer.
LIMITED WARRANTY. Program CC and its associated files are distributed
“as is,” without warranty as to their performance, merchantability,
or fitness for any purpose. The LICENSEE assumes the entire risk
as to the results and performance of this program.
LIMITATION OF REMEDIES: LICENSEE agrees that in no event shall
STI be liable to LICENSEE or any other person for any damages, including
any incidental or consequential damages, expenses, lost profits,
lost savings, or other damages arising out of the use of or inability
to use the program even if LICENSEE has been advised of the possibility
of those damages.
GOVERNING LAW: This agreement shall be construed according to, and
the rights of the parties shall be governed by, the law of the State
of California.
LICENSEE ACKNOWLEDGMENT. LICENSEE acknowledges that he, she, or
it has read this agreement, understands it, and agrees to be bound
by its terms and conditions. LICENSEE further agrees that this agreement
is the complete and exclusive statement of the agreement between
LICENSEE and STI and that it supersedes any prior agreement, oral
or written, and any other communication between LICENSEE and STI
relating to the subject matter of this agreement.
